General Terms and Conditions for the Sale of Goods

1 Scope of application

1.1 The following terms and conditions apply to all orders placed via our online store by consumers and entrepreneurs.

1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside his trade, business or profession. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

1.3 These GTC shall also apply to future business relationships with entrepreneurs without us having to refer to them again. If the entrepreneur uses conflicting or supplementary general terms and conditions, their validity is hereby contradicted; they shall only become part of the contract if we have expressly agreed to them.

2 Contractual partner, conclusion of contract

2.1 The purchase contract is only concluded after receipt of the invoice at the time of dispatch with Meat n Great UG & Co KG.

2.2 The presentation of the products in the online store does not constitute a legally binding offer, but a non-binding online catalog. You can initially place our products in the shopping cart without obligation and correct your entries at any time before sending your binding order by using the correction aids provided and explained for this purpose in the order process. By clicking on the order button, you place a binding order for the goods contained in the shopping cart. Confirmation of receipt of your order will be sent by e-mail immediately after the order has been sent.

2.3 When the contract with us is concluded depends on the payment method you have chosen:

Prepayment
We will accept your order by sending you a separate e-mail within two days in which we will provide you with our bank details.

PayPal
During the ordering process you will be redirected to the website of the online provider PayPal. There you can enter your payment details and confirm the payment instruction to PayPal. After placing the order in the store, we request PayPal to initiate the payment transaction and thereby accept your offer.

Sofort
After placing your order, you will be redirected to the website of the online provider Sofort GmbH, where you confirm the payment instruction. This concludes the contract with us.

Cash on collection
We will accept your order by sending a declaration of acceptance in a separate e-mail within two days.

3 Contract language, contract text storage

3.1 The language available for the conclusion of the contract is German.

3.2 We do not store the text of the contract.

4 Terms of delivery

4.1 In addition to the stated product prices, shipping costs will be added. You can find out more about the shipping costs in the offers.

4.2 In principle, you have the option of collecting the goods from Meat n Great UG & Co KG, Buchholzstraße 105, 51469 Bergisch Gladbach, Germany (DEU) during the following business hours: Monday through Friday: 10:00-19:00; Saturday 10:00-16:00. Applies to available items only. Availability subject to change. Errors excepted.

The following payment methods are available in our store:

Prepayment
If you choose to pay in advance, we will send you our bank details in a separate e-mail and deliver the goods after receipt of payment.

PayPal

In order to be able to pay the invoice amount via PayPal, you must be registered there or first register, legitimize with your access data and confirm the payment instruction to us. After placing the order in the store, we request PayPal to initiate the payment transaction. The payment transaction will be carried out automatically by PayPal immediately afterwards. Sofort
After placing your order, you will be redirected to the website of the online provider Sofort GmbH. In order to be able to pay the invoice amount via Sofort, you must have an online banking account with PIN/TAN procedure activated for participation in Sofort, legitimize yourself accordingly and confirm the payment instruction to us. You will receive further instructions during the ordering process. The payment transaction will be carried out immediately afterwards by Sofort and your account will be debited.

Cash payment on collection
You pay the invoice amount in cash on collection.

6 Retention of title

The goods remain our property until full payment has been made.

For entrepreneurs, the following also applies: We reserve title to the goods until all claims arising from an ongoing business relationship have been settled in full. You may resell the goods subject to retention of title in the ordinary course of business; you assign to us in advance all claims arising from this resale - irrespective of any combination or mixing of the goods subject to retention of title with a new item - in the amount of the invoice amount, and we accept this assignment. You remain authorized to collect the claims, but we may also collect claims ourselves if you do not meet your payment obligations.

7 Damage in transit

7.1 The following applies to consumers:
If goods are delivered with obvious transport damage, please complain about such defects to the deliverer as soon as possible and contact us immediately. Failure to make a complaint or contact us has no consequences for your legal claims and their enforcement, in particular your warranty rights. However, you will help us to assert our own claims against the carrier or the transport insurance company.

7.2 The following applies to entrepreneurs:
The risk of accidental loss and accidental deterioration shall pass to you as soon as we have delivered the goods to the forwarding agent, carrier or other person or institution designated to carry out the shipment. The obligation to inspect and give notice of defects regulated in § 377 HGB applies to merchants. If you fail to notify us as stipulated therein, the goods shall be deemed to have been approved, unless the defect was not recognizable during the inspection. This does not apply if we have fraudulently concealed a defect.

8 Warranty and guarantees

8.1 Unless expressly agreed otherwise below, the statutory liability for defects shall apply. For consumers, the limitation period for warranty claims for used goods is one year from delivery of the goods.

For entrepreneurs, the limitation period for claims for defects is one year from the transfer of risk; the statutory limitation periods for the right of recourse in accordance with § 478 BGB remain unaffected.

In relation to entrepreneurs, only our own information and the manufacturer's product descriptions included in the contract shall be deemed to be an agreement on the quality of the goods; we accept no liability for public statements made by the manufacturer or other advertising statements.

If the delivered item is defective, we shall initially provide warranty to entrepreneurs at our discretion by remedying the defect (rectification) or by delivering a defect-free item (replacement delivery).

The above restrictions and shortened deadlines do not apply to claims based on damage caused by us, our legal representatives or vicarious agents

  • in the event of injury to life, limb or health
  • in the event of intentional or grossly negligent breach of duty and fraudulent intent
  • in the event of a breach of essential contractual obligations, the fulfillment of which is essential for the proper execution of the contract and on the observance of which the contractual partner may regularly rely (cardinal obligations)
  • within the scope of a guarantee promise, if agreed
  • insofar as the scope of application of the Product Liability Act is opened.

8.4 Bundles can only be returned in full and within the 14-day right of return. The price paid for the bundle refers to the entire set; included accessories are considered free additions and can therefore not be returned individually or for a refund.

9 Liability

9.1 For claims based on damages caused by us, our legal representatives or vicarious agents, we are always liable without limitation

  • in the event of injury to life, limb or health,
  • in the event of intentional or grossly negligent breach of duty,
  • in the case of warranty promises, if agreed, or
  • insofar as the scope of application of the Product Liability Act is opened.

9.2 In the event of a breach of essential contractual obligations, the fulfillment of which is essential for the proper execution of the contract and on the observance of which the contractual partner may regularly rely (cardinal obligations) due to slight negligence on our part, our legal representatives or vicarious agents, liability shall be limited to the amount of damage foreseeable at the time of conclusion of the contract, the occurrence of which must typically be expected. Otherwise, claims for damages are excluded.

10 Note on returns

If possible, please return the goods in their original packaging with all accessories. However, this is not a mandatory requirement for the effective exercise of the right of withdrawal.
We would like to point out that you must pay for any loss in value of the goods if this loss in value is due to handling of the goods that is not necessary for checking their condition, properties and functionality. This also includes if the goods are no longer returned in their original packaging and can therefore only be resold at a discount.

11. protection of minors

If your order includes goods whose sale is subject to age restrictions, we will use a reliable procedure including a personal identity and age check to ensure that the customer has reached the required minimum age. The deliverer will only hand over the goods after an age check has been carried out and only to the customer personally.

12. final provisions

12.1 If you are an entrepreneur, German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

12.2 If you are a merchant within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from contractual relationships between us and you shall be our registered office.

1 Scope of application

You have the option of opening a customer account. You must provide your full name, a summonable address, a valid e-mail address and telephone number. You must create a password. When placing a new order, you only need to enter your e-mail address and password. As long as the customer account exists, the data provided will be stored by us for the purpose of order fulfillment.

3 Contractual partner, conclusion of contract

3.1 The service contract for the provision of barbecue seminars is concluded with Meat n Great UG & Co KG.

3.2 The presentation of the barbecue seminars on the specific dates in the online store does not constitute a legally binding offer, but a non-binding online catalog. You can initially place the barbecue seminars in the shopping cart without obligation and correct your entries at any time before sending your binding order by using the correction aids provided and explained for this purpose in the order process. Confirmation of receipt of your order will be sent by e-mail immediately after the order has been sent.

3.3 When the service contract with us is concluded depends on the payment method you have selected:

4 Subject matter of the contract

4.1 We carry out the barbecue seminars on the agreed dates in the manner described in the respective offers. The barbecue seminars are held at our company headquarters.

4.2 All utensils required for the provision of services shall be provided by us.

4.3 Upon request, you will receive the recipes used by e-mail after the end of the barbecue seminar.

5 Contract language, contract text storage

The language available for the conclusion of the contract is German.

The text of the contract will not be saved by us.

6 Payment

6.1 The following payment methods are available in our store:

If you select the prepayment payment method, we will provide you with our bank details in a separate e-mail and deliver the goods after receipt of payment.

6.2 The prices for the barbecue seminars can be found in the respective offer. All prices include the statutory value added tax. In addition to the stated product prices, shipping costs will be added if you have selected the shipping method by post during the ordering process. 7 Minimum number of participants

7.1 The minimum number of participants is 12.

7.2 If the minimum number of participants is not reached, we will inform you in writing by e-mail no later than 5 working days before the start of the barbecue seminar that the booked barbecue seminar will not take place. In this case, services rendered up to that point will be refunded immediately, unless you inform us in writing that you would like to attend an alternative date.

8 Withdrawal

8.1 In addition to the statutory regulations, you have the right to cancel free of charge 30 working days before the start of the event. If you cancel 14 days before the start of the event, 50 percent of the order amount is due. If you cancel 5 working days before the start of the event, 100 percent of the order amount will be due. Cancellation must be made in writing (e.g. by e-mail/fax/letter) to us, Meat n Great UG & Co KG, Buchholzstraße 105, 51469 Bergisch Gladbach, Tel. +49(0)2202/9836961, info@grillgoods.de, stating the booking number. For the timely withdrawal it depends on the receipt by us. In the event of timely withdrawal, services rendered up to that point will be refunded immediately.

8.2 If the barbecue seminar is canceled due to section 8.2, the consequences of section 8.2 shall also apply.

9 Change / Cancellation of a barbecue seminar

9.1 We reserve the right to make changes to the barbecue seminar for good cause, insofar as these are reasonable. In particular, we reserve the right to make changes in the event that a barbecue seminar cannot be held and a change is therefore absolutely necessary. An important reason for change is in particular the absence of the speaker/cook due to illness or other important reasons.

9.2 If a barbecue seminar is canceled for good cause before the start of the seminar, the seminar price will be refunded. The claim for reimbursement must be asserted to us within a period of 14 days, which begins on the day of the canceled seminar. If the claim is not asserted within this period, the claim for reimbursement shall lapse. Further claims against us are excluded.

10 Cancellation of a barbecue seminar

If the barbecue seminar is canceled, the purchase price will not be refunded unless we, our employees or vicarious agents are responsible for the cancellation of the service.

11 Passing on barbecue seminar tickets

The commercial resale of barbecue seminar tickets is prohibited.

13. domiciliary rights

13.1 By booking a barbecue seminar, you or the authorized participant of the barbecue seminar recognize our house rules and house rules as binding. The measures taken and instructions given by staff in the interests of safety, order and cleanliness must be complied with. The staff authorized by us to do so shall exercise domiciliary rights within the barbecue seminar venue.

13.2 The valid admission ticket must always be shown to the house staff on request. The admission ticket loses its validity at the end of the event.

13.3 The consumption of food and beverages brought onto the premises is not permitted.

13.4 We reserve the right to expel seminar participants from the seminar venue if they violate the house rules or the terms and conditions.

13.5 Photography, filming and sound recordings are only permitted on our premises for private purposes.

14. image and sound recordings

By booking a barbecue seminar, the customer or seminar participant consents to us making image and sound recordings of the participant which show him/her as a participant in the respective barbecue seminar. This consent includes publication on the homepage www.grillgoods.de and social media channels for advertising purposes.

15. protection of minors

Participants of a barbecue seminar must identify themselves with a photo ID at the request of us, our legal representatives or vicarious agents before the start of the barbecue seminar.

16. final provisions

If you are an entrepreneur, German law applies.

If you are a merchant within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from contractual relationships between us and you is our place of business.
